End-User License Agreement (EULA)Effective Date: September 22, 2024

This End-User License Agreement ("Agreement") is a legal contract between you ("End User," "You," "Your") and Lionheart Business Group LLC, DBA Optimus Auto AI ("Company," "We," "Us," "Our") for the use of the Optimus Auto AI platform and related services ("Software" or "Service"). By accessing or using the Software, you agree to be bound by this Agreement.

1. Grant of License:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or business purposes, subject to the terms of this Agreement.

2. Restrictions:

You agree not to:
Copy, modify, distribute, or create derivative works from the Software.
Reverse-engineer, decompile, or disassemble the Software.
Use the Software for illegal purposes or in violation of any applicable laws or regulations.
Share your account credentials or allow unauthorized access to the Software.
Use the Software to distribute malicious software or infringe on intellectual property rights.

3. Ownership:

All intellectual property rights in the Software, including but not limited to trademarks, logos, designs, code, and content, are owned exclusively by Lionheart Business Group LLC. This Agreement does not transfer ownership of the Software or any related materials to you.

4. Updates and Maintenance:

We may provide updates, bug fixes, or enhancements to the Software from time to time. You acknowledge and agree that we are not obligated to provide support or maintenance for the Software unless specified in a separate agreement.

5. Subscription and Fees:

Access to certain features of the Software requires a subscription with recurring fees. By subscribing, you agree to:

Pay all applicable fees in accordance with the terms outlined during the subscription process.
Allow automatic recurring payments unless you cancel your subscription through your account settings.
Failure to pay subscription fees may result in restricted access or termination of your license.

6. Termination:

We reserve the right to terminate this Agreement and your access to the Software if you:

Violate any terms of this Agreement.
Fail to pay applicable subscription fees.
Upon termination, you must cease all use of the Software and delete any copies in your possession.

7. Limitation of Liability:

To the fullest extent permitted by law, the Company shall not be liable for:

Indirect, incidental, special, or consequential damages arising out of the use or inability to use the Software.
Loss of data, profits, or business opportunities, even if advised of the possibility of such damages.

8. Disclaimer of Warranties:

The Software is provided "as-is" and "as-available," without warranties of any kind, either express or implied. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification:

You agree to indemnify and hold harmless the Company, its affiliates, and employees from any claims, damages, or liabilities arising from:

Your use of the Software.
Your breach of this Agreement.
Your violation of any third-party rights.

10. Governing Law:

This Agreement shall be governed by the laws of the State of Oklahoma, without regard to its conflict of law principles.

11. Dispute Resolution:

Any disputes arising out of this Agreement shall be resolved through mediation or binding arbitration in the State of Oklahoma. You waive your right to a trial by jury or to participate in a class action lawsuit.

12. Changes to this Agreement:

We reserve the right to modify this Agreement at any time. Any changes will be posted on this page, and you will be notified of significant updates via email or within the Software. Continued use of the Software after changes signifies your acceptance of the revised Agreement.
