These Terms of Service ("Terms," "Agreement") govern your use of the Optimus Auto AI platform and related services ("Service"), provided by Lionheart Business Group LLC, DBA Optimus Auto AI ("Company," "We," "Us," "Our"). By accessing or using our Service, you agree to be bound by these Terms. Please read them carefully before using the Service.
1. Definitions
- Service: The Optimus Auto AI platform, applications, and related tools offered by the Company.
- User: Any individual or entity accessing the Service.
- Account: The user profile created to access the Service.
2. Account Registration:
To access and use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and maintain the confidentiality of your account credentials. You are fully responsible for all activities that occur under your account, whether authorized or not.
3. Subscription and Payment:
Optimus Auto AI offers subscription-based services with a monthly recurring fee of $69.00. By subscribing, you authorize us to automatically charge the subscription fee on a recurring basis until you cancel.
- Failed Payments: If a payment is declined, we will notify you, and you will have a 14-day grace period to resolve the issue. After 14 days, your subscription may be temporarily suspended. If payment is made within 15 to 30 days, your account will be reactivated. If payment is not made by the 30th day, your account will be permanently deleted, and all associated data will be irretrievably lost.
4. License to Use the Service:
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal or business purposes, subject to these Terms. Users may not sublicense, transfer, or sell access to the Service. Prohibited conduct includes, but is not limited to:
- Reverse-engineering, modifying, or exploiting the platform in unauthorized ways.
- Using the Service for illegal purposes.
- Distributing harmful software or violating intellectual property rights.
5. Termination:
We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited conduct. You may cancel your subscription at any time through your account settings. All payments are final, and no refunds will be provided for payments already made.
6. Data Protection:
Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
7. Disclaimer of Warranties:
The Service is provided "as-is" and "as-available," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability:
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service, including but not limited to loss of data, profits, or business opportunities, even if we have been advised of the possibility of such damages.
9. Indemnification:
You agree to indemnify, defend, and hold harmless the Company, its affiliates, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Service, breach of these Terms, or violation of any third-party rights.
10. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles.
11. Dispute Resolution:
Any dispute arising out of or in connection with these Terms or the use of the Service shall be resolved through mediation or binding arbitration in the state of Oklahoma, USA. You agree to waive your right to a trial by jury or to participate in a class action lawsuit.
12. Force Majeure:
We are not liable for any delays or failures in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or technical failures.
13. Changes to These Terms:
We reserve the right to modify these Terms at any time. Any changes will be posted on this page, and we will notify users of significant updates via email or a prominent notice within the Service. Your continued use of the Service after the changes have been made will signify your acceptance of the revised Terms.
